1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Hunter App mobile application (the “App”) operated by XA LLC (“XA LLC,” “we,” “us,” or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the App.
2. Eligibility
The App is available exclusively to authorized restaurant partners within the XA LLC network. To use the App, you must be at least 18 years of age and have been granted authorized access by XA LLC. Unauthorized access or use of the App is strictly prohibited. We reserve the right to verify your authorization status at any time and to revoke access if you are no longer an authorized partner.
3. Account Registration and Security
To access the App, you must create an account using the credentials provided to you as an authorized partner. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You may not share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to protect your account information.
4. Use of the App
The App allows authorized restaurant partners to submit and manage reservation requests across the XA LLC network. You agree to use the App only for its intended purpose and in compliance with these Terms. You agree not to:
- Use the App for any unlawful or unauthorized purpose
- Attempt to gain unauthorized access to any part of the App or its systems
- Interfere with or disrupt the App or servers connected to the App
- Reverse engineer, decompile, or disassemble any part of the App
- Share or distribute the App download link to unauthorized individuals
- Submit false, misleading, or fraudulent reservation requests
5. Connected Accounts and Authorization
By using the App, you authorize XA LLC to access, use, and take actions through any third-party accounts you connect to the App (“Connected Accounts”) in any manner necessary to provide, operate, and deliver our services to you. This includes, but is not limited to, submitting reservation requests, managing bookings, sending communications, and performing any other actions on your behalf through your Connected Accounts as required to fulfill the purposes of the App. You acknowledge and agree that actions taken by XA LLC through your Connected Accounts are performed on your behalf and with your express authorization. You are responsible for ensuring that your Connected Accounts remain in good standing and that your credentials are current and valid. You may revoke access to a Connected Account at any time by disconnecting it within the App or by contacting us at support@huntereats.com. Revoking access may limit or disable certain features of the App that depend on the Connected Account.
6. Intellectual Property
The App and its entire contents, features, and functionality — including but not limited to all information, software, text, graphics, logos, and design — are owned by XA LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the App without our prior written consent.
7. Disclaimer of Warranties
The App is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
8. Limitation of Liability
To the fullest extent permitted by applicable law, XA LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the App, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless XA LLC and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms or if your authorization as a restaurant partner is revoked. Upon termination, your right to use the App will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction and venue of such courts.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the “Last updated” date. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.
